Terms of Service

Welcome to Tournament Ninja. These Terms of Service ("Terms") govern your access to and use of the Tournament Ninja platform, including our website, applications, and services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Account Terms

You must be at least 13 years of age to use Tournament Ninja. By registering for an account, you represent that you meet this requirement.

You are responsible for maintaining the security of your account credentials. Tournament Ninja cannot and will not be liable for any loss or damage resulting from your failure to maintain the security of your account.

You are responsible for all activity that occurs under your account. You must notify us immediately if you become aware of any unauthorized use of your account.

You must provide accurate and complete information when creating your account and keep that information up to date.

2. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights.
  • Upload or transmit viruses, malware, or other harmful code.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Attempt to gain unauthorized access to the Service or its related systems.
  • Use the Service to harass, abuse, or harm other users or tournament participants.
  • Scrape, crawl, or use automated means to access the Service without our written permission.
  • Misrepresent your identity or affiliation with any person or organization.

We reserve the right to suspend or terminate accounts that violate these terms at our sole discretion.

3. Payment Terms

3.1 Entry Fees

Tournament organizers may set entry fees for their tournaments. When you pay an entry fee, you are paying the tournament organizer through the Tournament Ninja platform. Tournament Ninja processes these payments via Stripe and may collect a platform fee on each transaction.

Refund policies for entry fees are set by the individual tournament organizer. Tournament Ninja is not responsible for refunding entry fees unless required by applicable law.

3.2 Subscriptions

Tournament Ninja may offer paid subscription plans with additional features. Subscriptions are billed on a recurring basis (monthly or annually, as selected). You may cancel your subscription at any time, and cancellation will take effect at the end of your current billing period.

We reserve the right to change subscription pricing with 30 days notice. Continued use of the Service after a price change constitutes acceptance of the new price.

3.3 Payment Processing

All payments are processed through Stripe. By making a payment, you also agree to Stripe's terms of service. Tournament Ninja does not store your full credit card information on our servers.

4. Tournament Data Ownership

You retain ownership of the tournament data you create on Tournament Ninja, including tournament structures, participant lists, match results, and scores. Tournament Ninja does not claim ownership of your content.

By using the Service, you grant Tournament Ninja a limited license to store, display, and process your tournament data as necessary to provide the Service. This license ends when you delete your data or close your account.

Tournament results and brackets that you make publicly accessible may be viewed by anyone with the link. You are responsible for managing the visibility settings of your tournaments.

5. Intellectual Property

The Tournament Ninja name, logo, and all related trademarks, service marks, and branding are the property of Tournament Ninja. You may not use our branding without prior written permission.

The Service, including its design, code, and documentation, is protected by copyright and other intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

6. Limitation of Liability

To the maximum extent permitted by law, Tournament Ninja shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from your use of or inability to use the Service.

Tournament Ninja's total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid to Tournament Ninja in the twelve months preceding the claim.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

7. Termination

You may close your account at any time by contacting us at support@tournamentninja.com.

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Reasons for termination may include, but are not limited to, violations of these Terms or conduct that we determine to be harmful to other users or the Service.

Upon termination, your right to use the Service ceases immediately. We may delete your account data after a reasonable retention period, as described in our Privacy Policy.

8. Dispute Resolution

These Terms are governed by the laws of the State of Washington, United States, without regard to its conflict of laws provisions.

Any disputes arising from these Terms or the Service shall first be resolved through good-faith negotiation. If a resolution cannot be reached within 30 days, either party may pursue binding arbitration administered by a mutually agreed-upon arbitration provider, with the arbitration taking place in Seattle, Washington.

You agree to resolve disputes on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

9. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the effective date at the top of this page and, for material changes, notify you by email or through the Service.

Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
